Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "User", or "you") and cloudshift Ltd ("cloudshift", "we", "us", or "our"), a company incorporated in Ireland (Registration Number: 582947), with its registered office at Eyre Square 33, Galway, H25 5604, Ireland.
By accessing or using our website, platform, or related services (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
These Terms apply to all users of the Services, including visitors, prospective customers, and contracted clients.
Description of Services
cloudshift provides professional cloud migration and cloud infrastructure services to businesses. Our offering includes advisory services, technical execution, and access to supporting software tools, including:
- Cloud readiness assessments and migration planning
- Data and application migration services
- Application refactoring and cloud optimisation
- Security configuration and compliance support
- Ongoing technical support and consulting
- Access to cloudshift software tools and dashboards
We may update, modify, or discontinue parts of the Services as technology, regulations, or business needs evolve.
User Obligations
When using the Services, you agree to act responsibly and lawfully.
Compliance and Lawful Use
- Comply with applicable laws, regulations, and contractual obligations
- Use the Services solely for legitimate business purposes
- Protect account credentials and access rights
- Respect the intellectual property rights of cloudshift and third parties
Prohibited Activities
- Unauthorised access to systems or data
- Disruption or interference with platform operations
- Distribution of malware or harmful code
- Transmission of unlawful, misleading, or unsolicited content
- Reverse engineering or unauthorised copying of the Services
- Resale or sublicensing without written permission
Customer Data Responsibilities
- Ensuring you have lawful rights to all data processed
- Maintaining appropriate backups of your data
- Promptly reporting security incidents or suspected breaches
- Complying with applicable data protection requirements
Intellectual Property
All intellectual property rights in the Services, including software, documentation, branding, and proprietary methods, remain the exclusive property of cloudshift or its licensors.
You are granted a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. No ownership rights are transferred.
You retain ownership of your data. We process customer data solely to deliver the Services, in line with applicable data protection laws.
Payment and Billing
Fees are defined in your service agreement or commercial proposal. Unless otherwise agreed:
- Fees are payable in advance
- Taxes and duties are your responsibility
- Late payments may result in service suspension
Refunds are issued only where contractually agreed or required by law.
Data Protection and Privacy
We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Irish and EU data protection laws. Further details are provided in our Privacy Policy.
For customer data processed through the Services, you act as data controller and cloudshift acts as data processor.
Service Availability
We design our Services to be reliable and resilient, but availability may be affected by maintenance, updates, third-party infrastructure, or unforeseen events.
Planned maintenance is communicated in advance where reasonably possible. Temporary interruptions may occur and do not constitute a breach of these Terms.
Limitation of Liability
To the maximum extent permitted by law, cloudshift shall not be liable for indirect, incidental, or consequential losses arising from use of the Services.
Our total liability is limited to the fees paid for the affected Services during the twelve months preceding the claim, except where liability cannot be excluded by law.
Termination
Either party may terminate the Services in accordance with the notice periods and conditions set out in the applicable service agreement.
Provisions relating to intellectual property, liability, and governing law shall survive termination.
Governing Law
These Terms are governed by the laws of Ireland. Irish courts have exclusive jurisdiction, subject to mandatory consumer protection rights within the European Union.
